Ezhou Company Registration: Documents, Steps and Practical Timeline

A practical guide for foreign founders on registering a foreign-owned company in Ezhou, Hubei: required documents, registration sequence, business scope, registered address rules and the delays that most often slow things down.

Ezhou is a smaller prefecture-level city in eastern Hubei, sitting next to Wuhan on the southern bank of the Yangtze. For a foreign founder, it offers lower office and warehouse costs than Wuhan and direct access to the Ezhou Huahu airport logistics zone and the Wuhan-Ezhou intercity rail. It is also a city where the practical details of company registration matter: local authorities are approachable, but they expect clean paperwork, and a handful of steps cannot be skipped or reordered.

This guide covers what a foreign-owned limited liability company (WFOE) needs in Ezhou: the document set, the sequence of registrations, how to write business scope, what counts as an acceptable registered address, and where timelines realistically slip.

The entity and the overall sequence

Almost all foreign founders in Ezhou register a wholly foreign-owned limited liability company (外商独资有限责任公司). The process runs in a fixed order, and each step depends on the one before it:

  • Name pre-approval — reserve the Chinese company name with the Ezhou market regulation authority (SAMR) system.
  • Business scope and registration filing — submit the establishment application to the Ezhou Administration for Market Regulation, including articles of association, legal representative details, shareholder documents and address proof.
  • Business licence issuance — the unified social credit code and licence are issued after the filing is accepted.
  • Seal carving — company chop, legal representative chop, finance chop and contract chop, filed with the public security seal system.
  • Bank account opening — basic RMB account, plus a foreign currency capital account if foreign capital will be injected.
  • Tax registration and invoicing setup — tax bureau registration, taxpayer status selection, and enrolment for the electronic tax system.
  • Foreign exchange and capital contribution — registering the foreign investment information report and, where applicable, the capital account with SAFE-compliant bank procedures.
  • Social insurance and housing fund registration — required once you hire staff.

Licensed activities (food, logistics, education, medical devices, etc.) require a separate permit after the business licence, and some sectors require approval before registration. Check the negative list for foreign investment before you commit to a name or an address.

Documents foreign founders actually need

The document set is standard across Hubei, but Ezhou reviewers are strict about format. Expect to prepare:

  • Passport copy of the legal representative and of each foreign shareholder (individual shareholders), or the certificate of incorporation of a corporate shareholder.
  • Notarisation and legalisation of the corporate shareholder's incorporation documents, or an apostille where the Hague Convention applies. Chinese authorities generally require a Chinese translation, and some offices ask for the translation to be done by a qualified translation agency.
  • Proof of registered address — lease contract plus the landlord's property ownership certificate, or a filed address-use authorisation. See the section below.
  • Articles of association in Chinese, signed by the shareholder or authorised signatory.
  • Name pre-approval notice and the establishment application form.
  • Appointment documents for the legal representative, supervisor and executive director or board.
  • Authorisation letter if an agent files on your behalf, with the agent's ID.
  • Foreign investment information report — filed through the enterprise registration system; the content must match the articles and the capital structure.

Two practical notes. First, signatures should be consistent across all documents; a mismatch between the passport signature and the application signature is a common rejection reason. Second, if the shareholder is a company, the notarised documents must name the same entity and the same signatory throughout.

Business scope: how to write it for Ezhou

Business scope in China is a controlled list, not free text. You select standard items from the SAMR catalogue and, where your activity is not in the catalogue, you write a custom item that local reviewers accept.

Good practice for a foreign founder:

  • Lead with the item that matches your actual revenue activity — for example, technology development and technical services, software development, supply chain management services, or goods import and export.
  • Keep the first item narrow and accurate. The first item often determines the tax bureau's view of your main business and can affect invoicing categories.
  • Add related items you genuinely plan to operate. Over-broad scope invites questions and, for licensed items, triggers permit requirements you may not want yet.
  • Separate general items from licensed items. Import/export, food, logistics involving bonded goods and education are licensed; list them only when you are ready to apply for the permit.

If you plan to invoice in RMB for services, make sure the service item is in scope before the first invoice — adding items later is possible but requires a change filing.

Registered address: what Ezhou accepts

The registered address must be a real, documented premises. Ezhou accepts:

  • Owned or leased office space with a lease contract and the landlord's property certificate.
  • Incubator or industrial park addresses, including the Ezhou development zones and airport-adjacent logistics parks, where the park operator provides address documentation and sometimes a cluster-registration arrangement.
  • Virtual or cluster registration in designated parks, if the park is authorised for it and your business scope does not require physical premises.

Avoid residential addresses unless the local authority explicitly permits “residential converted to commercial” use for your activity; this varies by district and is a frequent cause of rejection. Also confirm the address appears correctly on the property certificate — a mismatch between the lease and the certificate is the single most common address-related delay.

Realistic timeline

Assuming clean documents and a standard service business with no pre-approval requirement:

  • Name pre-approval: 1–3 working days.
  • Establishment filing and business licence: 3–7 working days after a complete submission.
  • Seals: 1–3 working days.
  • Bank account opening: 1–3 weeks, depending on the bank's onboarding checks and whether a foreign currency capital account is needed.
  • Tax registration and invoicing setup: 3–10 working days, longer if the tax bureau asks for additional explanations of the business model.
  • Capital account and first capital injection: 1–4 weeks, depending on the bank and the source-of-funds documentation.

In practice, founders should budget four to eight weeks from document preparation to a functioning company with a bank account, and longer if a licensed activity is involved. The licence itself is usually fast; the bank and tax steps are where the calendar stretches.

Common delays and how to avoid them

  • Notarisation and translation of foreign shareholder documents. Start this before anything else; it is often the longest lead item.
  • Name rejections. Names that are too generic, or that conflict with existing marks, are rejected. Prepare two or three alternatives.
  • Address documentation gaps. Lease dates, landlord identity and property certificate details must align.
  • Business scope wording. Reviewers may ask you to rephrase custom items; keep a fallback wording ready.
  • Bank onboarding. Banks increasingly ask about the source of funds, the ultimate beneficial owner and expected transaction flows. Prepare a short business plan and ownership chart.
  • Legal representative availability. Some banks and tax steps require the legal representative to appear in person or via video; confirm this before scheduling.
  • Foreign investment report mismatches. The capital structure in the report must match the articles and the bank's records.

Practical closing notes

Ezhou is manageable for a foreign founder who arrives with a complete, consistent document set. The city's lower cost base is real, but the registration process rewards precision over speed. Use a local agent or a lawyer familiar with the Ezhou market regulation and tax offices, keep Chinese versions of every document, and plan the bank and tax steps as part of the project rather than an afterthought.
